Terms of Service

Please read these Terms of Service carefully before using Nexara. These terms constitute a legally binding agreement between you and MrVampCruz | Altaaf Hamod regarding your use of the Nexara platform.
1. Acceptance of Terms
By accessing or using Nexara, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the platform. These terms apply to all users including Super Admins, IT Admins, Users, and Clients.
2. Description of Service
Nexara is a professional company management platform that enables organisations to onboard and manage companies, stakeholders, shareholders, beneficial owners, secretaries, bank accounts, signatory groupings, KYC documents, individual and corporate clients, departments, users, and related business data. The platform additionally offers a live operations dashboard, an immutable audit log, tiered subscription billing, a no-code form-schema builder, configurable menus and platform parameters, and optional white-label branding. Access is granted on a subscription or licence basis.
3. Subscription Plans, Billing & Cancellation
Nexara offers Individual and Business plans on monthly and yearly billing cycles, plus optional custom plans. Each plan includes quotas (such as maximum users, departments, access groups, clients, and stakeholders) and feature gates (such as Custom Branding) that are enforced by the platform. By subscribing to a paid plan you authorise Nexara to charge the payment method you provide on each renewal until you cancel. Cancellations stop auto-renewal but keep your current paid period active until it expires. You can update your billing address, change your payment method, or cancel at any time from Configurations → Company Information → Billing. Free plans skip the payment step entirely and have no auto-renewal.
4. User Accounts & Responsibilities
You are responsible for maintaining the confidentiality of your account credentials. You must not share your login details with others. You are responsible for all activity that occurs under your account, including activity by users you create within your company workspace. You must immediately notify us of any unauthorised use of your account. IT Admins and Super Admins are responsible for the access groups, roles, and permissions they assign to other users.
5. Acceptable Use
You agree to use Nexara only for lawful purposes and in accordance with these Terms. You must not use the platform to store fraudulent, misleading, or illegal information; upload KYC documents you are not authorised to process; interfere with or disrupt the platform; attempt unauthorised access; bypass plan quotas or feature gates; or use the service in any way that could harm Nexara or other users.
6. Contact Form Submissions
By submitting a message through our Contact Form, you confirm that the details you provide are accurate and that you consent to the collection of the form fields (name, email, optional subject, and message) together with the technical metadata described in our Privacy Policy — including browser characteristics, screen and viewport details, timezone and locale, network connection details, and server-side request data such as your IP address and Cloudflare-derived country and request identifiers. This information is used solely to respond to your enquiry, prevent abuse, and diagnose technical issues. You must not use the Contact Form to send spam, abusive content, or unlawful material.
7. Data Ownership
You retain ownership of all data you input into Nexara — including company records, stakeholder profiles, KYC documents, bank account and signatory details, client records, custom form-schema fields, and any uploaded files. By using the platform, you grant Nexara a limited licence to store, process, and display your data solely for the purpose of providing the service. We do not claim ownership of your company or client data.
8. Audit Logs & Record Retention
Every mutation in Nexara — creates, updates, deletes, logins, logouts, exports, approvals, rejections, password resets, plan changes — is recorded in an immutable audit log together with the actor, timestamp, severity, category, and IP address. Audit entries cannot be edited. Only Super Admins may delete entries, and the deletion itself is also recorded. Audit logs are subject to a per-company rolling cap defined by your subscription plan; once the cap is reached the oldest entries are pruned to make room. Increasing the cap requires upgrading your plan.
9. Custom Branding & White-Labelling
Plans that include the Custom Branding feature allow you to upload your own logo and brand name to be displayed in the sidebar and across the platform for users in your workspace. You confirm that you have the rights to any brand assets you upload, and that those assets do not infringe on any third party's intellectual property. We may remove brand assets that we reasonably believe are infringing or unlawful.
10. Confidentiality & Security
Nexara implements industry-standard security measures to protect your data, including encryption in transit (TLS) and at rest. Both parties agree to maintain the confidentiality of sensitive information exchanged in connection with the use of the platform.
11. Intellectual Property
All intellectual property rights in the Nexara platform — including its design, code, trademarks, and content — belong to MrVampCruz | Altaaf Hamod. You may not reproduce, distribute, or create derivative works without explicit written permission. This does not affect ownership of your own data, brand assets, or custom configuration described in sections 7 and 9.
12. Limitation of Liability
To the maximum extent permitted by law, Nexara and its operators shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Our total liability to you shall not exceed the amounts paid by you in the preceding twelve months.
13. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to Nexara. We reserve the right to perform maintenance, updates, or modifications that may temporarily affect availability. We will endeavour to provide advance notice of planned downtime.
14. Termination
We reserve the right to suspend or terminate access to Nexara at our discretion, including for violations of these Terms or non-payment of subscription fees. You may cancel your subscription at any time as described in section 3. Upon termination, your right to use the platform will cease at the end of the current paid period. You may request an export of your data prior to termination.
15. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the relevant courts.
16. Changes to Terms
We may revise these Terms at any time. We will notify registered users of material changes by email. Your continued use of Nexara after such notification constitutes acceptance of the revised Terms.
